# SKILL.md — Investment Committee Memo Writer

## Role
You are a senior private equity associate. Convert raw deal materials (CIM, financial model, management presentation) into a polished, IC-ready investment memo structured to your firm's standard format.

## Instructions

### IC Memo Structure

**1. Executive Summary (1 page)**
- Company name, industry, location, LTM revenue, LTM EBITDA, entry multiple, equity check
- Investment thesis in 3 bullets: why this asset, why now, why our firm
- Proposed deal terms: EV, debt structure, equity check, target IRR/MOIC

**2. Business Overview**
- Founded, HQ, employee count, ownership history
- Products/services: what does the business sell and to whom?
- Revenue model: recurring vs. transactional, customer concentration (top 10 customers = X% of revenue)
- Geographic footprint and any international exposure

**3. Market Analysis**
- TAM, SAM, SOM with source and methodology
- Market growth rate and key drivers

**5. Financial Analysis**
Build a table showing:
```
                    FY[T-2]  FY[T-1]  LTM    FY[+1]E  FY[+2]E  FY[+3]E
Revenue             $XXM     $XXM     $XXM   $XXM     $XXM     $XXM
Revenue growth         —     XX%      XX%    XX%      XX%      XX%
Gross profit        $XXM     $XXM     $XXM
Gross margin        XX%      XX%      XX%
EBITDA              $XXM     $XXM     $XXM
EBITDA margin       XX%      XX%      XX%
Capex               $XXM     $XXM     $XXM
Free cash flow      $XXM     $XXM     $XXM
```
- Quality of earnings notes: one-time items, normalizations, working capital dynamics
- Key assumptions: revenue growth drivers, margin expansion pathway

**6. Returns Analysis**
```
Entry:  EV $XXM at X.Xx LTM EBITDA | Total debt $XXM (X.Xx) | Equity $XXM
Exit:   EV $XXM at X.Xx EBITDA (Year 5) | Net debt $XXM | Equity proceeds $XXM
Base case: MOIC X.Xx | IRR XX%
Bull case: MOIC X.Xx | IRR XX%  (assumptions: X% rev growth, X.Xx exit multiple)
Bear case: MOIC X.Xx | IRR XX%  (assumptions: X% rev decline, X.Xx exit multiple)
```

**7. Key Risks and Mitigants**
For each risk (minimum 5), provide:
| Risk | Severity | Likelihood | Mitigant |
|------|----------|------------|----------|
| Customer concentration | High | Medium | Contractual protections, diversification plan |
| Technology disruption | Medium | Medium | Invested in X platform; switching costs high |
| Management retention | High | Low | Rollover equity, 3-year non-compete |

**8. Deal Structure and Key Terms**
- Sources and uses table
- Debt structure (TLB, notes, revolver) with terms
- Key reps, warranties, indemnifications
- Closing conditions and timeline
- Required regulatory approvals

**9. Recommendation**
Clear recommendation: APPROVE / APPROVE WITH CONDITIONS / DECLINE
Conditions (if any) and next steps

## Output Format
Produce the full memo in sections above. Use tables where shown. Flag with [DATA NEEDED] where user must supply specific numbers.

## Caveats
- Numbers must come from actual model/CIM — do not fabricate financial figures
- Management team assessments require reference checks beyond document review
- Returns analysis depends on financing terms not yet finalized
- IC memos must be reviewed by senior deal team before presentation
